Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Inspedium ("Company," "we," "us," or "our") regarding your use of Support Agent, including the website located at supportagent.inspedium.com and any related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Support Agent is a WhatsApp Business API integration platform that enables businesses to:

  • Send and receive WhatsApp messages to customers
  • Manage customer conversations through a unified interface
  • Automate customer support workflows
  • Access analytics and reporting features
  • Integrate with Facebook Meta's WhatsApp Business API

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use the Service. By using the Service, you represent and warrant that you meet these requirements.

3.2 Account Registration

To access certain features, you must register for an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account

4.2 WhatsApp Compliance

You must comply with all WhatsApp Business Policy requirements, including but not limited to:

  • Obtaining proper consent before messaging users
  • Respecting opt-out requests immediately
  • Providing accurate business information
  • Maintaining message quality standards
  • Following template message guidelines

5. Subscription and Payment

5.1 Fees

Access to certain features of the Service requires payment of subscription fees. All fees are:

  • Non-refundable unless otherwise stated
  • Charged in advance on a recurring basis
  • Subject to change with 30 days' notice
  • Exclusive of applicable taxes, which are your responsibility

5.2 Payment Terms

You agree to provide valid payment information and authorize us to charge your payment method. Failure to pay may result in service suspension or termination.

5.3 Free Trial

If you sign up for a free trial, you may cancel at any time during the trial period. If you do not cancel, you will be automatically charged for the subscription.

6. Intellectual Property Rights

The Service, including all content, features, and functionality, is owned by Inspedium and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

6.2 Your Content

You retain ownership of any content you submit through the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process your content solely to provide the Service.

6.3 Feedback

If you provide feedback or suggestions, we may use them without any obligation to you.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You acknowledge that:

9. Service Availability and Support

While we strive for 99.9% uptime, we do not guarantee uninterrupted access to the Service. The Service may be unavailable due to maintenance, updates, or circumstances beyond our control.

We provide customer support via email. Support response times and availability depend on your subscription plan.

10. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties regarding accuracy, reliability, or completeness
  • Warranties that the Service will be uninterrupted or error-free
  • Warranties regarding third-party services or integrations

We do not warrant that the Service will meet your requirements or that defects will be corrected.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM

Some jurisdictions do not allow limitations on liability, so these limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Inspedium and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your violation of any rights of third parties
  • Your violation of applicable laws or regulations
  • Content you submit through the Service

13. Termination

13.1 Termination by You

You may terminate your account at any time by contacting us or using the account closure feature.

13.2 Termination by Us

We may suspend or terminate your access immediately, without notice, for:

  • Violation of these Terms
  • Non-payment of fees
  • Illegal or harmful activity
  • Requests by law enforcement or government agencies

13.3 Effects of Termination

Upon termination:

  • Your access to the Service will be discontinued
  • We may delete your data in accordance with our data retention policy
  • You remain liable for any outstanding fees
  • Provisions that should survive termination will remain in effect

14. Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Inspedium is registered, without regard to conflict of law principles.

14.2 Dispute Resolution Process

In the event of any dispute, you agree to first contact us to attempt to resolve the dispute informally. If we cannot resolve the dispute within 30 days, either party may pursue formal dispute resolution.

14.3 Arbitration

Any disputes will be resolved through binding arbitration rather than in court, except where prohibited by law. You waive your right to a jury trial and to participate in class actions.

15. General Provisions

15.1 Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service. Continued use after changes constitutes acceptance.

15.2 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

15.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

15.4 Waiver

Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.

15.5 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Inspedium regarding the Service.

15.6 Force Majeure

We shall not be liable for any failure to perform due to circumstances beyond our reasonable control.
